1. Acceptance of Terms
By accessing this website or engaging Digital Cheetahs ("we," "us," "our," "the Company") for any service, you ("Client," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use this website or engage our services.
2. Services Provided
Digital Cheetahs provides digital services including but not limited to:
- Strategy and consulting
- UI/UX design
- Website development
- Graphic design
- Content writing
- SEO optimization
The exact scope, deliverables, timeline, and cost of any engagement will be defined in a separate written proposal, quotation, or contract ("Project Agreement") signed or confirmed by both parties. These Terms govern the general relationship; the Project Agreement governs specific project details. In case of conflict, the Project Agreement prevails.
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information, content, and materials required for the project
- Respond to requests for feedback, approvals, or materials within the timeframe communicated by Digital Cheetahs
- Ensure they have the legal right to use any content, images, trademarks, or materials provided to us for use in the project
- Make payments according to the agreed schedule
Delays caused by the Client (late feedback, missing content, etc.) may extend project timelines accordingly, and Digital Cheetahs is not liable for such delays.
4. Payment Terms
- Pricing for services will be quoted in advance and confirmed in writing before work begins.
- Unless otherwise agreed, projects require an upfront deposit (typically 30-50% of the total project cost) before work commences.
- Remaining balances are due as per the milestones or timeline specified in the Project Agreement.
- Invoices are due within 7 days of issuance unless otherwise agreed.
- Late payments may result in suspension of work, and repeated late payments may result in termination of the engagement.
- All fees are non-refundable once work has commenced, except as otherwise agreed in writing or as required by applicable law.
- Payment methods accepted will be communicated at the time of invoicing (e.g., bank transfer, [other methods]).
5. Revisions and Scope Changes
- Each project includes a defined number of revision rounds, as specified in the Project Agreement.
- Requests beyond the agreed scope ("scope creep") - including additional pages, features, design directions, or content - will be treated as a change order and billed separately.
- Digital Cheetahs will notify the Client before undertaking any additional billable work.
6. Intellectual Property
Upon full and final payment, ownership of the final delivered work (website code, designs, content, etc. created specifically for the Client) transfers to the Client, except for:
- Third-party assets (stock photos, fonts, plugins, licensed software) which remain subject to their respective licenses
- Digital Cheetahs' pre-existing tools, frameworks, code libraries, and internal processes, which remain our property and may be reused across projects
Until full payment is received, all deliverables remain the property of Digital Cheetahs.
Digital Cheetahs reserves the right to showcase completed work in its portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing prior to project commencement.
7. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, and not to disclose it to third parties without written consent, except as required by law.
8. Warranties and Disclaimers
- Digital Cheetahs will perform services with reasonable skill, care, and professionalism consistent with industry standards.
- We do not guarantee specific business outcomes such as search engine rankings, traffic volumes, conversion rates, or sales, as these depend on factors outside our control (search engine algorithms, market conditions, client-side execution, etc.).
- Services are provided on an "as-is" and "as-available" basis. We disclaim all other warranties, express or implied, to the maximum extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Digital Cheetahs' total liability arising from any engagement shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
- Digital Cheetahs shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, arising from the use of our services or deliverables.
10. Third-Party Services and Tools
Projects may involve third-party platforms, hosting providers, plugins, or APIs (e.g., domain registrars, hosting companies, payment gateways). Digital Cheetahs is not responsible for outages, pricing changes, or policy changes by these third parties.
11. Termination
- Either party may terminate an engagement with 14 days' written notice.
- Upon termination, the Client is responsible for payment of all work completed up to the termination date.
- Digital Cheetahs reserves the right to withhold final deliverables until outstanding payments are settled.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from these Terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Faisalabad, Pakistan.
13. Changes to These Terms
Digital Cheetahs may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
